Legal and Business Consulting Practice

Viewing ourselves as business-oriented, we practice in various commercial fields to assist clients in creating, facilitating and increasing their markets for products and services. Representative clients have included publicly held companies, some international in scope, as well as smaller and new entrepreneurial companies, joint ventures and individuals, common and private carriers, and utilities. Also represented are trade associations, educational institutions and support associations, not-for-profits, charitable, foundations, and service organizations. The firm advises on and deals with matters of commercial and general business, transactional, transitional (including business succession planning/implementation), commercial real estate/leasing, government contracting, franchising, partnerships, joint ventures, legislation/government relations, issue advocacy, litigation services, business negotiations/dispute resolution, operational, and employment issues. We also counsel and advise Internet, communications and related service providers, equipment manufacturers/distributors, program and service networks/suppliers, authors, musicians, entertainers, artists, publishers and media. Mr. Pellegrin has also served as corporate counsel to various for-profit and non-profit organizations. He also functions as a financial resource facilitator.

 

Intellectual Property

The firm’s IP practice includes trademark, copyright, patent coordination, Internet, domain name, and computer related issues. The firm deals with contracts and disputes involving IP rights, computer and information technology (IT), regulatory compliance matters, litigation, and legislation, including matters within the purview of the U.S. Patent and Trademark Office, U.S. Copyright Office, and U.S. International Trade Commission. We can also serve as project managers, coordinators, and/or agents in the entertainment, literary, music, artistic, publishing, media, and sports fields, as well as offering promotional services.

 

Communications

The firm practices before the FCC, as well as other regulatory agencies, including state Public Utility Commissions (PUCs) and local community/county franchising authorities. All facets of communications and communications entities and service providers to the communications industry are dealt with – including authorizations, modifications and transactional. Our scope of available services includes broadcast, cable television, common and private carriers, microwave, PCS, cellular, paging, SMR, equipment and experimental authorizations, as well as policy and political communications matters before various government agencies. We also serve as expert witnesses in these fields, and assist clients in their efforts to secure and maintain their communication facilities.

 

Food and Drug Administration; Environmental Protection Agency

The firm advises consultants and companies subject to FDA and/or EPA regulations on respective agency policies, issues, rulemakings, as well as compliance and transactional matters.

 

Wills, Trusts, Estates

We advise and assist individuals as well as clients having interests in closely held companies in establishing as well as reviewing, coordinating with Certified Public Accountants (CPAs), and making recommendations as to clients’ business succession and individual estate plans. This includes drafting and/or review of Supplemental Executive Retirement Plans (SERPs), Rabbi Trusts, Revocable and Irrevocable Trusts, and Advanced Medical Directives (AMDs).

John Pellegrin, principal in the firm, holds the highest rating (AV Preeminent) from Martindale Hubbell – the international law directory. He is admitted to practice in Virginia, District of Columbia, New York, various federal courts and the U.S. Supreme Court. He holds a B.S.B.A. degree in Management from Georgetown University and a Juris Doctoris degree from Fordham University School of Law.

 

Mr. Pellegrin is involved with various business, non-profit, charitable, community and service organizations, including the Fairfax County Small Business Commission (appointed an At Large Commissioner by the Chairman of the Fairfax County Board of Supervisors, and currently serving as the SBC’s Chairman); MVLE, Inc. (Board and Board Governance Committee Member); Rotary Club of West Springfield (past Board Member and Vocational Services Chair; Chartering Organization Representative to local Boy Scout Troop and Cub Pack; Eagle Scout and Brotherhood Member of the Order of the Arrow); participation in Ethics Day and Leadership Day for high school students; conducting mock trials for 8th grade Honors students; Greater Springfield Chamber of Commerce (former President/Chairman and Board Member), Springfield Golf and Country Club (former President and Board Member), and membership in several Chambers of Commerce through the SBC; member of the Purveyors Club.
